  • There is no evidence that Nadiem gained personal benefits or enriched any other party.

  • Device prices listed in the government e-catalog are set  by vendors with approval from the National Public Procurement Agency (LKPP)**, and each device must also comply with the minimum 25% Local Content Requirement (TKDN)***. Therefore, allegations of state losses related  to laptop price mark-ups have nothing to do with  the policy decision to select  Chrome OS.

  • There was no direct appointment of vendors, and Google did not participate in the procurement process, as Google is not a laptop vendor.

  • The entire procurement process was fully handled by LKPP under the coordination of the Directorate General of Early Childhood, Primary, and Secondary Education (PAUD Dikdasmen)****. LKPP is institutionally accountable to the President.

No Conflict of Interest Between Nadiem and Google’s Investment in Gojek

  • There is no link between Google’s investment in Gojek—whether through PT Aplikasi Karya Anak Bangsa (PT AKAB), PT Gojek Indonesia (PT GI), or PT GoTo Gojek Tokopedia Tbk (GoTo)—and the selection of Chrome OS at the Ministry of Education, Culture, Research, and Technology.

  • One day prior to his official appointment as Minister, Nadiem acted in good faith by voluntarily resigning from his positions as President Commissioner of PT AKAB and Chief Executive Officer of PT Gojek Indonesia. He also delegated  his super voting rights* and regular voting rights in PT AKAB in order to remove any elements that could potentially create a conflict of interest.

  • Nearly 70% of Google’s investment in PT AKAB/GoTo took place  in 2018, almost 1.5 years before Nadiem served as Minister. Google invested in PT AKAB in April 2018, well before Nadiem became Minister.

  • Google’s subsequent investments in 2020 (7.04%) and 2021 (4.72%) were merely steps  to avoid dilution*** due to a reduction in share value resulting from new capital injections by major investors. These investments had nothing to do with the selection of Chrome OS or Chromebooks at  the Ministry.

  • The transfer of IDR 809,596,125,000 from PT AKAB to PT GI in 2021 was purely an internal corporate transaction within GoTo. 

    • PT AKAB made the investment  through the issuance of new shares, not by purchasing shares from existing shareholders.

    • As a result, PT AKAB held 99% ownership, while the ownership stakes of other shareholders—including Nadiem—were diluted to below 1%. 

    • The IDR 809 billion was then returned in full  by PT GI to PT AKAB for the purpose of repaying debt. 

    • This transaction was an administrative corporate governance step undertaken by PT AKAB ahead of its Initial Public Offering (IPO) in 2021. 

    • Based on corporate documentation, Nadiem did not receive a single rupiah/IDR from this transaction. 

    • No individual shareholder benefited, including Nadiem.

    • This transaction has no relation whatsoever to Google, Chromebooks, Chrome OS, or the Ministry.

  • From 2017 to 2022, Nadiem never sold his shares in PT AKAB.

  • Beyond  Google, many other global investors—such as Sequoia, Tencent, Temasek, BlackRock, and JD—also invested in PT AKAB, demonstrating that Google’s investment was driven purely by Gojek’s performance and growth potential as a company.
